Introduction
This Terms of Use agreement (“Agreement”) governs the access and use of the services provided by Ranksphere LLC, a limited liability company organized under the laws of the United Arab Emirates, with its registered address at Shams Business Center, MCFZ, Al Messaned, Sharjah, UAE, and commercial registration number 2536681.01 (“Ranksphere”, “we”, “us”, or “our”).
By accessing or using the Ranksphere platform and related services, the user (“User”, “you”, or “your”) expressly agrees to be legally bound by the terms and conditions set forth in this Agreement. If you do not accept or agree with these Terms, you may not access or use the platform.
1. Eligibility
The Services are available only to individuals who are at least eighteen (18) years of age. By using the Services, you affirm that you meet this age requirement. The Services are available globally and are not subject to geographic limitations; however, the User is solely responsible for compliance with any applicable local laws and regulations.
2. Description of Services
Ranksphere is a cloud-based Software-as-a-Service (SaaS) platform designed to facilitate local search engine optimization. The platform enables Users to manage and monitor Google Business Profiles, track real-time rankings on Google Maps, schedule and publish posts, analyze performance data over a three-year historical range, manage customer reviews and questions, assign SEO-related tasks, and organize team communication within a centralized dashboard.
Access to the platform is available through the following subdomains: ranksphere.io (main website), app.ranksphere.io (user platform), and marketing-ranksphere.io (marketing and promotional communications). The platform operates on a subscription basis and is integrated with various third-party services, including Google, Stripe, AWS, and other partners to enable core functionalities.
3. Account Registration and User Responsibilities
To register for an account, Users must provide their full name, email address, and industry details. Users are responsible for maintaining the confidentiality of their account credentials and for all activities conducted under their account. You agree to provide accurate, current, and complete information and to update it as necessary to maintain its accuracy.
Ranksphere reserves the right to suspend or terminate any account that contains false or misleading information or is found to be involved in prohibited conduct.
4. Acceptable Use and Prohibited Conduct
Users shall only use the platform for lawful purposes and in a manner consistent with this Agreement. Users are strictly prohibited from reverse-engineering, copying, distributing, reselling, or otherwise exploiting any part of the platform for commercial or non-commercial purposes without express written consent. Users may not upload or transmit malicious software, engage in unauthorized scraping or automation, or register multiple accounts using the same identity or payment method for the purpose of gaining unfair access to freemium features or promotional offers.
Any conduct that undermines the integrity, performance, or security of the platform is grounds for immediate suspension or termination of access.
5. Availability and Modifications
Ranksphere shall make commercially reasonable efforts to maintain 24/7 operational availability of the platform. Support is available at [email protected]. We reserve the right to modify, enhance, or discontinue any part of the Services at any time without liability. In the event of material changes, Users will be notified via email, dashboard notification, or on-platform banner. Continued use of the platform following such changes constitutes acceptance of the modified terms.
6. Subscription Plans and Payment
Ranksphere offers multiple service tiers, including Freemium (limited access), Basic, Standard, Growth, and Agency (custom pricing and features). Subscription fees are payable in advance and processed through third-party payment providers, including Stripe. By subscribing, you authorize Ranksphere to charge your selected payment method for the applicable fees based on your chosen billing cycle.
You may manage, upgrade, downgrade, or cancel your subscription from within your account settings.
7. Refunds and Fair Usage Policy
Refunds may be requested within thirty (30) days of the subscription purchase date. However, refunds shall not be granted if any of the following conditions are met: fifty percent (50%) or more of the allocated platform credits have been used; key platform features, such as post scheduling or analytics, were actively or continuously used; or the service was otherwise provided in accordance with the features available at the time of purchase.
Refunds will not be issued in cases where accounts are found to be abusing platform features, including but not limited to the creation of multiple accounts using the same identity or payment method for the purpose of exploiting freemium access or promotions.
8. Termination and Suspension
Users may cancel their subscription and terminate this Agreement at any time through the account settings. Ranksphere reserves the right to suspend or terminate access to the platform for violation of these Terms, prolonged inactivity, or failure to make timely payments. Where practical, Users shall be notified of the suspension or termination in advance.
9. Intellectual Property
Ranksphere LLC retains all rights, title, and interest in and to the platform, including all software, design elements, content, trademarks, and proprietary features. Users retain ownership of the content they upload, including Google post captions and review responses. By submitting content to the platform, you grant Ranksphere a limited, non-exclusive, royalty-free license to host, display, and use such content solely for the purpose of providing the Services.
All analytics, rankings, performance reports, and similar data generated by the platform shall remain the exclusive property of Ranksphere.
10. Limitation of Liability
Ranksphere makes no representations or warranties of any kind, whether express or implied, regarding the platform or its performance. The platform is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by law, Ranksphere shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to loss of profits, business interruption, data loss, or reputational harm, arising from or relating to the use of the platform or the inability to access or use the Services.
11. Data Privacy and Processing
By using the platform, you acknowledge and agree to the terms outlined in our Privacy Policy and Cookie Policy, which are incorporated into this Agreement by reference.
Ranksphere collects and processes personal and business information necessary to provide the Services. This may include your name, email address, phone number, industry, IP address, location data, payment information (via Stripe), and usage activity. We use this information for service delivery, support, analytics, marketing, and security purposes. Some platform features may involve automated processing and decision-making.
12. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the United Arab Emirates. Any dispute, controversy, or claim arising out of or relating to this Agreement, including its validity, interpretation, performance, or termination, shall be finally resolved by binding arbitration in accordance with applicable arbitration rules in force in the United Arab Emirates at the time of the dispute. The arbitration proceedings shall be conducted in English.
13. Amendments
Ranksphere reserves the right to update or amend these Terms at any time. Users will be notified of any material changes via email, platform banner, or dashboard notification. Continued use of the Services following such notice constitutes acceptance of the updated Terms.
