Terms of Service

These Terms of Service ("Terms") are a binding agreement between you ("you", "your", or "Customer") and Ranksphere LLC, a limited liability company registered in the Sharjah Media City Free Zone (Shams), Sharjah, United Arab Emirates ("Ranksphere", "we", "us", or "our"). They govern your access to and use of the Ranksphere websites, applications, and services (together, the "Service"). Please also read our Privacy Policy, which is part of these Terms.

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and authority

You must be at least 18 years old to use the Service. If you use the Service on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms, and "you" refers to that organization.

2. The Service and your license to use it

Ranksphere is a software-as-a-service platform for local search visibility, including rank tracking, Google Business Profile management, citation and review tools, reporting, and AI-assisted features. Subject to these Terms and your payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your own business or the businesses of clients you serve.

3. Accounts and security

You are responsible for your account, your workspace, the users you invite, and for keeping your login credentials secure. You are responsible for all activity that occurs under your account. Notify us promptly at support@ranksphere.io if you suspect unauthorized use.

4. Plans, billing, and renewals

• Paid plans are billed in advance on a recurring basis (monthly or as stated at checkout) through our payment processor, Stripe. You authorize us to charge your payment method for the plan and any usage-based charges you incur.
• Subscriptions renew automatically for the same period until you cancel. You can cancel at any time; cancellation takes effect at the end of the current billing period.
• All fees are stated and charged in US dollars (USD). Fees are exclusive of taxes, which you are responsible for where applicable. Except where required by law, payments are non-refundable and we do not provide refunds or credits for partial periods or unused features.
• We may change our prices or plans. We will give you reasonable advance notice, and changes take effect at your next renewal.
• If a payment fails or is overdue, we may suspend or limit your access until it is resolved.

5. Free trials and fair use

We may offer a free trial. A free trial does not require a payment method and does not automatically convert to a paid plan; to continue on a paid plan after the trial ends, you choose to upgrade. Free access is limited to one free workspace per owner and is provided for genuine evaluation and use. Creating multiple accounts or workspaces to obtain additional free credits or to circumvent plan limits is not permitted. If we detect abuse of a free or trial offering, we may suspend or permanently terminate the accounts involved, delete the associated workspaces and data, block further access or new sign-ups (including by IP address or other identifiers), and ban the user from Ranksphere, at our sole discretion and with or without notice. We may change or withdraw free offerings at any time.

6. Your data and content

"Customer Data" means the data you submit to the Service or that we retrieve on your behalf, including business locations, connected profiles, rankings, and reviews. As between you and us, you own your Customer Data. You grant us a worldwide, non-exclusive license to host, process, and use Customer Data solely to provide, secure, and improve the Service and as described in our Privacy Policy.

You are responsible for your Customer Data. You represent and warrant that you have all rights, permissions, and a lawful basis (including any required consent) to submit it to us and to have us process it, including any personal data about your clients, their customers, or reviewers. You are responsible for the accuracy and legality of your Customer Data and for how you use the outputs of the Service.

7. Acceptable use

You agree that you will not, and will not permit anyone else to:

• Use the Service in violation of any law, regulation, or third-party rights.
• Use the Service for spam, deceptive, black-hat, or manipulative SEO practices, or in a way that violates Google's or any other provider's terms or policies.
• Upload malicious code, or attempt to gain unauthorized access to the Service or its systems.
• Reverse engineer, decompile, scrape, or copy the Service, except to the extent this restriction is prohibited by law.
• Resell, sublicense, or provide the Service to third parties except as expressly permitted.
• Create multiple accounts or workspaces, or otherwise act, to farm free credits, evade fees or plan limits, or get around a suspension or ban.
• Interfere with or place an unreasonable load on the Service, or circumvent usage limits or security features.

We may investigate and take action, including suspension or termination, for violations.

8. Third-party services

The Service relies on third-party providers, including Google (when you connect a Google Business Profile) and third-party data and infrastructure providers. Your use of connected third-party services is subject to their own terms, and you are responsible for complying with them, including maintaining your own Google Business Profile access and permissions. We are not responsible for third-party services, their availability, or the accuracy or completeness of data they provide.

9. AI-assisted features

Some features generate content, tasks, insights, and recommendations using AI. These outputs are provided to assist you and may be inaccurate, incomplete, or unsuitable for your situation. You are responsible for reviewing outputs before relying on or publishing them. We do not warrant that AI outputs are accurate, and you are solely responsible for any content you choose to publish.

10. Intellectual property

We and our licensors own all rights in the Service, including its software, design, and content (excluding your Customer Data). These Terms do not grant you any rights in the Service except the limited license above. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without obligation to you.

11. Disclaimers

The Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

We do not guarantee any particular search rankings, traffic, leads, revenue, or business results. Search rankings depend on Google and other factors outside our control. We do not warrant that the Service will be uninterrupted, error-free, or that data (including rankings and reviews) will be accurate, complete, or current. You use the Service and rely on its outputs at your own risk.

12. Limitation of liability

To the fullest extent permitted by law, Ranksphere LLC and its owners, employees, and providers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, rankings, or business opportunities, arising out of or relating to the Service, even if we have been advised of the possibility of such damages.

Our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the amount you actually paid us for the Service in the twelve (12) months immediately before the event giving rise to the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the smallest amount permitted by law.

13. Indemnification

You will defend, indemnify, and hold harmless Ranksphere LLC and its owners, employees, and providers from and against any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service; (c) your violation of these Terms, any law, or any third-party rights (including your obligations under third-party terms such as Google's); or (d) your failure to obtain any required rights or consents for the data you provide.

14. Suspension and termination

You may stop using the Service and delete your workspace at any time. We may suspend, restrict, or terminate your access, with or without notice, if you breach these Terms, fail to pay, abuse a free or trial offering, or use the Service in a way that risks harm or legal exposure, or where required by law. We may also block your future access to the Service (including by IP address or other identifiers) where we reasonably believe you are abusing the Service or evading a prior suspension or ban. On termination, your right to use the Service ends. You may export or delete your Customer Data before termination; after termination we will delete it as described in our Privacy Policy. Sections that by their nature should survive (including sections 6, 10, 11, 12, 13, and 15) will survive termination.

15. Changes to the Service and these Terms

We may modify or discontinue features of the Service. We may also update these Terms from time to time; when we make a material change we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after a change takes effect means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the Emirate of Sharjah and the applicable federal laws of the United Arab Emirates, without regard to conflict-of-law rules. You agree that the competent courts of the Emirate of Sharjah, United Arab Emirates, will have jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory rights you may have under the laws of your country of residence.

17. General

These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service. If any provision is found unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Neither party is liable for delays or failures caused by events beyond its reasonable control. Nothing in these Terms creates a partnership, agency, or employment relationship between us.
